T2D3 Marketplace — Worker Agreement

This Marketplace Worker Agreement (the "Agreement") is between you and T2D3 LLC ("T2D3," "we," "us") and governs your participation as an independent service provider ("Worker") on the T2D3 marketplace (the "Marketplace"). It supplements the T2D3 Terms of Service, which also apply. By accepting this Agreement during worker onboarding, you agree to be bound by it. If you do not agree, do not offer services through the Marketplace.

1. You are an independent contractor

You provide services as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and T2D3, or between you and any client, unless you and a client separately agree to one outside the Marketplace. You set your own prices, choose which work to accept, control your own hours, methods, and tools, and are free to work for others, including through other platforms. You are not entitled to employee benefits from T2D3, and T2D3 does not supervise, direct, or control how you perform services.

2. T2D3 is a neutral venue and limited payment collection agent

The Marketplace is a venue that matches Workers with clients and processes payments between them. The contract for any services is directly between you and the client; T2D3 is not a party to it and does not guarantee the volume, quality, or outcome of any engagement, or that you will receive work at all.

You appoint T2D3 as your limited agent solely to collect payment from clients on your behalf. A client's payment to T2D3 (including payment made in platform credits) satisfies the client's payment obligation to you for the applicable order, and your sole recourse for the corresponding payout is against T2D3 under Section 5, not against the client.

3. Eligibility, identity verification, and your profile

You must be at least 18, legally able to work as an independent contractor in your jurisdiction, and able to form a binding contract. Before accepting paid work you must complete a one-time identity verification, which is processed by Stripe under Stripe's privacy policy; T2D3 receives the verification result, not your underlying documents. You are responsible for keeping your profile accurate and for the truthfulness of the skills, superpowers, and experience you list. Parts of your worker profile (name, photo, city, roles, superpowers, ratings, and verification status) are visible to clients and may be publicly discoverable when you set your profile to public.

4. Orders, delivery, acceptance, and disputes

Clients purchase your services as scoped orders (per hour, per word block, per design unit, or per deliverable). When you accept an order you commit to the listed scope, the included revisions, and the stated timeline. Client funds for an order are held by T2D3 from placement. When you deliver, the client may accept the work, request an included revision, or open a dispute. Orders auto-accept 7 days after delivery if the client takes no action. Disputes are reviewed by T2D3, and you agree that T2D3's good-faith resolution of an order dispute (release of payment, partial release, or refund) is final as between you and T2D3 with respect to that order.

5. Platform fees, payouts, and taxes

T2D3 charges a platform fee on each completed order, currently 10% of your listed price (0% during any founding-worker period shown on your profile), and clients pay a separate platform margin on top of your listed price. The fee percentages that apply to an order are the ones shown when the order is placed; we may change fees prospectively with at least 30 days' notice. Payouts of your net earnings are made through Stripe to the bank account you connect, on a weekly cycle once the corresponding order is accepted. You are solely responsible for your own taxes, including self-employment taxes; where required, tax forms (such as US Form 1099) are prepared and delivered through Stripe. If an accepted order is later refunded due to a dispute resolved against you, the corresponding payout may be reversed or offset against future payouts.

6. Intellectual property and portfolio rights

Upon the client's acceptance of a delivery and release of the corresponding payment, all right, title, and interest in the delivered work product is assigned to the client, excluding your pre-existing tools, templates, and know-how, which you license to the client as needed to use the work product. Unless an order is marked confidential, you may display the delivered work in your portfolio with the client's name; for confidential orders you may not disclose the client or the work.

7. Confidentiality and client data

Orders may give you access to a client's workspace data — strategy, customer, and business information. You may use that information only to perform the applicable order, must keep it confidential, and must delete or return it when the order closes or on request. You may not use client data to train models, build datasets, solicit the client's customers, or for any purpose other than the engaged work.

8. Taking relationships off-platform

Clients you meet through the Marketplace are Marketplace relationships. For 12 months after your last order with a given client, arranging paid work with that client off-platform to avoid Marketplace fees is a breach of this Agreement; T2D3 may suspend or remove your Marketplace standing (including featured placement and founding-worker status) for doing so. Relationships you can show pre-dated the Marketplace are not restricted.

9. Suspension and termination

You may stop offering services at any time; orders you have already accepted must still be completed or cancelled with the client's agreement. T2D3 may suspend or remove your Marketplace access for breach of this Agreement, fraud, misrepresentation, repeated quality failures, or conduct that harms clients or the platform. On termination, Sections 5 through 11 survive, and earned, undisputed payouts will still be paid.

10. Disclaimers and limitation of liability

The Marketplace is provided "as is." To the maximum extent permitted by law, T2D3 disclaims all warranties and is not liable for the acts or omissions of clients, for lost profits, or for indirect, incidental, special, or consequential damages arising from the Marketplace. T2D3's total liability to you under this Agreement is limited to the greater of (a) fees T2D3 retained from your orders in the 6 months before the claim and (b) US$100.

11. Governing law and disputes with T2D3

Disputes between you and T2D3 under this Agreement are resolved the same way as under the T2D3 Terms of Service, including its governing-law, arbitration, and class-action-waiver provisions, which are incorporated here. We may update this Agreement prospectively; material changes will be notified to you, and continuing to offer services after the effective date constitutes acceptance. Questions: support@t2d3.club.
